Agreement to Terms
Welcome to Marvin. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and StrategyConnect FZCO, a company registered under the laws of the United Arab Emirates with its office at 8th Floor, #145 The Offices 4, One Central Dubai World Trade Center, Dubai, UAE ("Marvin," "Company," "we," "us," or "our").
By accessing or using Marvin's AI-powered consulting platform at consultmarvin.com (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service. Your continued use after such modifications constitutes acceptance of the updated Terms
Agreement to Terms
Marvin is an AI-powered consulting platform that enables users to create professional consulting decks, business presentations, and strategic documents. Our Service includes:
AI Document Generation: Automated creation of consulting slides, hypotheses, solution outlines, and business frameworks based on your inputs
Intelligent Chat Interface: Conversational AI assistant to refine and iterate on your consulting deliverables
Document Editor: Full-featured editor to customize, modify, and enhance AI-generated content
Template Library: Professional consulting templates and design frameworks
Export Capabilities: Export to PowerPoint (PPTX), PDF, and other formats
Research Integration: Web research and data sourcing for evidence-based content
File Upload: Upload reference documents to provide context for AI generation
User Accounts
3.1 Account Registration
To access certain features of the Service, you must create an account. You may register using your email address or through Google OAuth authentication. By creating an account, you represent that:
You are at least 18 years of age
You have the legal capacity to enter into binding agreements
All registration information you provide is accurate and complete
You will maintain the accuracy of such information
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
Immediately notify us of any unauthorized use of your account
Not share your account credentials with third parties
Not create accounts for others without authorization
Use strong, unique passwords and enable available security features
3.3 Account Termination
You may terminate your account at any time through your account settings or by contacting support. We reserve the right to suspend or terminate accounts that violate these Terms.
Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall NOT:
4.1 Prohibited Content
Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
Create content that promotes discrimination, hatred, or violence against individuals or groups
Generate misleading or fraudulent business documents intended to deceive
Produce content that infringes on intellectual property rights of others
Create content containing malware, viruses, or harmful code
4.2 Prohibited Activities
Attempt to gain unauthorized access to the Service, other accounts, or systems
Use automated tools, bots, or scrapers to access the Service beyond intended use
Reverse engineer, decompile, or attempt to extract source code from the Service
Interfere with or disrupt the Service or servers/networks connected to it
Circumvent, disable, or interfere with security features of the Service
Use the Service to compete with or create a similar service
Resell, redistribute, or sublicense access to the Service without authorization
Impersonate any person or entity or misrepresent your affiliation
4.3 Professional Standards
As a consulting platform, we expect users to maintain professional standards when using generated content for business purposes. You are solely responsible for reviewing and validating all AI-generated content before use in professional settings
Intellectual Property Rights
5.1 Service Ownership
The Service, including its original content, features, functionality, design, software, algorithms, AI models, templates, and trademarks, is and will remain the exclusive property of StrategyConnect FZCO and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.
5.2 Your Content
You retain ownership of any content you upload to the Service ("Your Content"), including documents, files, and data you provide. By uploading Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, store, and display Your Content solely for the purpose of providing the Service to you.
5.3 AI-Generated Content
Subject to these Terms and your active subscription.
You own the rights to the AI-generated content created through your use of the Service
You may use, modify, and distribute AI-generated content for personal and commercial purposes
We retain rights to use anonymized and aggregated data to improve our AI models and Service
AI-generated content may incorporate publicly available information and should be verified for accuracy before professional use
5.4 Template License
Templates and design assets provided through the Service are licensed, not sold, to you. You may use templates to create documents but may not redistribute, resell, or sublicense the templates themselves
5.5 Feedback
Any feedback, suggestions, or ideas you provide about the Service become our property. We may use such feedback without restriction or compensation to you.
Payment and Subscriptions
6.1 Subscription Plans
Marvin offers various subscription plans with different features and usage limits. Current pricing and plan details are available on our pricing page. We reserve the right to modify pricing with reasonable notice to existing subscribers.
6.2 Billing
Subscription fees are billed in advance on a recurring basis (monthly or annually)
All fees are non-refundable except as required by law or expressly stated
You authorize us to charge your payment method for all subscription fees
Failed payment may result in suspension or termination of your subscription
6.3 Free Trial
We may offer free trials with limited features or duration. At the end of a free trial, your account may be converted to a paid subscription or restricted to free tier features unless you cancel.
6.4 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until then.
AI-Generated Content Disclaimer
IMPORTANT: Marvin uses artificial intelligence to generate consulting content. By using the Service, you acknowledge and agree that:
No Guarantee of Accuracy: AI-generated content may contain errors, inaccuracies, or outdated information. You are solely responsible for reviewing and verifying all content before use.
Not Professional Advice: AI-generated content does not constitute professional consulting, legal, financial, or business advice. Consult qualified professionals for specific business decisions.
Human Review Required: All AI-generated content should be reviewed, validated, and customized by qualified individuals before use in professional contexts.
No Liability for Outcomes: We are not liable for any business decisions, outcomes, or consequences resulting from the use of AI-generated content.
Potential for Bias: AI systems may reflect biases present in training data. Users should critically evaluate all generated content.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
We do not warrant that:
The Service will be uninterrupted, secure, or error-free
Results obtained from the Service will be accurate or reliable
The quality of any products, services, or information obtained through the Service will meet your expectations
Any errors in the Service will be corrected
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
IN NO EVENT SHALL STRATEGYCONNECT FZCO, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Indemnification
You agree to defend, indemnify, and hold harmless StrategyConnect FZCO and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
Your violation of these Terms
Your use of the Service
Your Content or any content you generate through the Service
Your violation of any rights of a third party
Any claims arising from the professional use of AI-generated content
Confidentiality
Each party agrees to maintain the confidentiality of the other party's Confidential Information. Confidential Information includes non-public information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.
We will handle Your Content and business information with appropriate confidentiality. However, this obligation does not extend to information that:
Is or becomes publicly available through no fault of the receiving party
Was known to the receiving party before disclosure
Is independently developed by the receiving party
Is disclosed with written permission
Termination
12.1 Termination by You
You may terminate your account at any time by contacting support or through your account settings. Upon termination, your right to use the Service will immediately cease.
12.2 Termination by Us
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:
Breach of these Terms
Request by law enforcement or government agencies
Extended periods of inactivity
Technical or security issues
Engagement in fraudulent or illegal activities
12.3 Effect of Termination
Upon termination:
Your right to use the Service immediately ceases
We may delete your account and associated data (subject to legal retention requirements)
You remain liable for any fees incurred before termination
Provisions that by their nature should survive termination will survive
Governing Law and Disputes
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.
13.2 Jurisdiction
Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates. You consent to the personal jurisdiction of such courts.
13.3 Arbitration
At our sole discretion, we may require you to submit any disputes arising from these Terms or use of the Service to binding arbitration in accordance with the DIAC Arbitration Rules. The arbitration shall be conducted in Dubai in the English language by a single arbitrator.
General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Marvin regarding the Service and supersede all prior agreements and understandings.
14.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
14.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
14.5 Force Majeure
Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
14.6 Independent Contractors
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Marvin.
14.7 Language
These Terms are drafted in English. If translated into other languages, the English version shall prevail in case of any conflict.
14.8 Notices
We may provide notices to you via email, posting on the Service, or other reasonable means. You may provide notices to us at the contact information below.

Acknowledgment
BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND CONDITIONS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU ARE NOT AUTHORIZED TO USE THE SERVICE.
You also acknowledge that these Terms constitute the complete and exclusive statement of the agreement between you and Marvin, superseding any proposal or prior agreement, oral or written, and any other communications between you and Marvin relating to the subject matter of these Terms.
